- “Services” refers to website design, SEO, Google Business Profile management, lead generation, and other digital marketing services provided by Globalyze.
- “Website” refers to globalyze.in and all associated pages.
- “Agreement” refers to the contract formed between Globalyze and the Client upon acceptance of a proposal or purchase of services.
2. Services
2.1 Scope of Services
Globalyze provides digital marketing services including but not limited to:
- Website design and development
- Search Engine Optimization (SEO)
- Google Business Profile management
- Lead generation and conversion optimization
- Content creation
- Digital marketing consulting
Specific services will be detailed in individual proposals or service agreements.
2.2 Service Packages
We offer various service packages (Starter, Growth, Premium) with different features and pricing. The exact scope, deliverables, timelines, and pricing for your project will be outlined in your custom proposal or service agreement.
2.3 Month-to-Month Service
Unless otherwise specified, our services are provided on a month-to-month basis with no long-term contract lock-in. Either party may terminate services with 30 days’ written notice.
3. Client Responsibilities
3.1 Information and Materials
You agree to provide:
- Accurate business information
- Timely access to necessary accounts (website hosting, domain, social media, etc.)
- Content, images, logos, and other materials as needed
- Timely feedback and approvals
- Responsive communication
3.2 Cooperation
You agree to:
- Respond to leads within 24 hours (for our lead guarantee to apply)
- Maintain competitive pricing for your market
- Maintain a minimum 4.0+ star rating on Google Business Profile
- Implement our recommendations in good faith
- Provide constructive feedback within agreed timelines
3.3 Legal Compliance
You represent and warrant that:
- All materials you provide are legally owned by you or properly licensed
- Your business operations comply with all applicable laws
- You will not use our services for any illegal or unethical purposes
4. Payment Terms
4.1 Pricing
Service pricing is as outlined in your custom proposal or on our website. Prices are in Indian Rupees (INR) and are subject to change with 30 days’ notice for ongoing services.
4.2 Setup Fees
One-time setup fees (where applicable) are due before work begins. Setup fees may be waived with a 6-month service commitment as specified in your proposal.
4.3 Monthly Payments
Monthly service fees are billed in advance on the 1st of each month. Payment is due within 7 days of invoice date.
4.4 Payment Methods
We accept payments via:
- Bank transfer (NEFT/RTGS/IMPS)
- UPI
- Online payment gateway
- Cheque (with prior approval)
4.5 Late Payments
Late payments may result in:
- Late fees of 2% per month on overdue amounts
- Suspension of services until payment is received
- Termination of services after 15 days of non-payment
4.6 Taxes
All prices are exclusive of applicable taxes (GST). Taxes will be added to invoices as required by Indian law.
5. Performance Guarantee
5.1 Lead Generation Guarantee
We guarantee that within 90 days of your website going live with our complete SEO and GMB optimization, you will receive at least 10-15 qualified buyer leads per month.
Qualified Lead Definition:
- Contacts you via phone, form submission, or Google Business Profile
- Is located in your service area
- Has a genuine project or inquiry (not just price shopping)
5.2 Guarantee Conditions
Our guarantee applies only if you:
- Respond to leads within 24 hours
- Have competitive pricing for your market
- Maintain a minimum 4.0+ star rating on Google Business Profile
- Implement our recommendations
- Complete the full 90-day optimization period
5.3 Remedy
If we do not deliver 10-15 qualified leads per month within 90 days, we will continue working at no additional monthly charge for up to 3 additional months until you achieve this result or until we mutually agree the guarantee conditions were not met.
6. Intellectual Property Rights
6.1 Client Materials
You retain all ownership rights to materials you provide (logos, content, images, etc.).
6.2 Deliverables
Upon full payment:
- Website: You own the website design, content, and code we create for you. We will transfer all files and credentials.
- Content: You own all written content, graphics, and materials created specifically for your project.
- Templates/Tools: We retain rights to any proprietary templates, tools, or methodologies used in delivering services.
6.3 Portfolio Rights
We reserve the right to use completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing.
6.4 Third-Party Assets
Some elements (stock photos, fonts, plugins, themes) may be licensed from third parties. You are responsible for maintaining any ongoing licenses.
7. Warranties and Disclaimers
7.1 Our Warranties
We warrant that:
- Services will be performed with reasonable skill and care
- Work will be substantially as described in proposals
- We will use industry-standard security practices
7.2 Disclaimers
WE DO NOT GUARANTEE:
- Specific search engine rankings (except as outlined in Section 5)
- Specific amounts of traffic or revenue
- Results from factors outside our control (algorithm changes, competitor actions, etc.)
- Uninterrupted or error-free service
SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
7.3 SEO Disclaimer
Search engine optimization results depend on many factors including competition, algorithm changes, and your industry. While we use proven strategies, we cannot guarantee specific rankings or timeframes beyond our stated performance guarantee.
8. Limitation of Liability
8.1 Maximum Liability
Our total liability for any claims arising from our services shall not exceed the total amount you paid us in the 12 months preceding the claim.
8.2 Excluded Damages
We shall not be liable for:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Indirect, incidental, consequential, or punitive damages
- Damages caused by factors outside our reasonable control
8.3 Third-Party Actions
We are not responsible for:
- Actions of third-party platforms (Google, Facebook, hosting providers, etc.)
- Search engine algorithm changes
- Website downtime caused by hosting providers
- Actions of hackers or malicious actors
9. Termination
9.1 Termination by Either Party
Either party may terminate month-to-month services with 30 days’ written notice.
9.2 Termination for Cause
We may terminate immediately if you:
- Fail to pay within 15 days of due date
- Breach these Terms
- Engage in abusive or threatening behavior
- Use services for illegal purposes
9.3 Effect of Termination
Upon termination:
- You must pay for all services rendered up to termination date
- We will provide you with completed work and file access within 7 days of final payment
- Monthly fees are non-refundable for the current month
- Setup fees are non-refundable
9.4 Mid-Project Termination
If you terminate during an active project:
- Setup fees are non-refundable
- You will receive work completed to date
- You pay for hours worked if on hourly basis
10. Refund Policy
10.1 Setup Fees
Setup fees are non-refundable once work has commenced.
10.2 Monthly Services
Monthly service fees are non-refundable. If you cancel, services will continue through the end of the current billing period.
10.3 Performance Guarantee
Our remedy for not meeting the performance guarantee is continued service at no charge as outlined in Section 5, not a refund.
10.4 Exceptional Circumstances
Refunds may be considered on a case-by-case basis for exceptional circumstances at our sole discretion.
11. Confidentiality
11.1 Mutual Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of our relationship, including business strategies, financial information, and technical processes.
11.2 Exceptions
Confidential information does not include information that:
- Is publicly available
- Was already known to the receiving party
- Is independently developed
- Must be disclosed by law
12. Indemnification
You agree to indemnify and hold Globalyze harmless from any claims, damages, or expenses arising from:
- Your use of our services
- Materials you provide to us
- Your violation of these Terms
- Your violation of any laws or third-party rights
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, strikes, government actions, internet failures, or pandemics.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of services after changes constitutes acceptance of modified Terms.
For material changes affecting existing clients, we will provide 30 days’ notice via email.
15. Dispute Resolution
15.1 Good Faith Negotiation
In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation.
15.2 Mediation
If negotiation fails, parties agree to attempt mediation before pursuing legal action.
15.3 Jurisdiction
These Terms shall be governed by the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
16. General Provisions
16.1 Entire Agreement
These Terms, along with any signed proposals or service agreements, constitute the entire agreement between parties and supersede all prior agreements or understandings.
16.2 Severability
If any provision is found to be unenforceable, the remaining provisions shall remain in full effect.
16.3 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
16.4 Assignment
You may not assign or transfer your rights or obligations without our written consent. We may assign our rights to any successor or affiliate.
16.5 Independent Contractor
We are an independent contractor, not an employee, partner, or agent of your business.
